In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Rigby & Rigby Architecture Limited for the period ended 31 March 2017 which comprise, the Balance Sheet and the related notes from the company’s accounting records and from information and explanations you have given us.
As a practising member firm of the Institute of Chartered Accountants in England and Wales (ICAEW), we are subject to its ethical and other professional requirements which are detailed at http://www.icaew.com/en/members/regulations-standards-and-guidance/
It is your duty to ensure that Rigby & Rigby Architecture Limited has kept adequate accounting records and to prepare statutory financial statements that give a true and fair view of the assets, liabilities, financial position and loss of Rigby & Rigby Architecture Limited. You consider that Rigby & Rigby Architecture Limited is exempt from the statutory audit requirement for the period.
We have not been instructed to carry out an audit or a review of the financial statements of Rigby & Rigby Architecture Limited. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory financial statements.
Rigby & Rigby Architecture Limited is a private company limited by shares incorporated in England and Wales. The registered office is Bridgeway House, Bridgeway, Stratford Upon Avon, Warwickshire, CV37 6YX.
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
These financial statements for the period ended 31 March 2017 are the first financial statements of Rigby & Rigby Architecture Limited prepared in accordance with FRS 102, The Financial Reporting Standard applicable in the UK and Republic of Ireland. The date of transition to FRS 102 was 1 January 2015. The reported financial position and financial performance for the previous period are not affected by the transition to FRS 102.
In accordance with the transitional exemption in section 35 of FRS 102, Rigby & Rigby Architecture Limited has elected to retain its accounting policies for reported assets, liabilities and equity before the date of transition to FRS 102.
The company was dormant throughout the current year and previous year.
The current financial period is a 15 month period as the company extended its year end from 31 December to 31 March to align with that of it's ultimate parent company Rigby Group (RG) plc.
The company has not traded during the period or the preceding financial period. During this time the company received no income and incurred no expenditure and therefore no Profit and loss account is presented in these financial statements
There were no staff costs for the year ended 31st March 2017 nor for the year ended 31st December 2015.
Rigby Group (RG) plc is regarded by the directors as being the company's ultimate parent company.
The principal place of business of Rigby Group (RG) plc is at Bridgeway House, Stratford-upon-Avon, Warwickshire, CV37 6YX. The consolidated statements are available at that address.
Ultimate controlling party
The immediate controlling party is Rigby & Rigby Limited who owns 100% of the issued share capital.
Sir Peter Rigby, a director of Rigby Group (RG) plc, controlled the company as a result of holding (directly and indirectly) 75% of the issued ordinary share capital of Rigby Group (RG) plc, the ultimate parent undertaking.
