Balance sheet statements

For the year ending 30 September 2022 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

Company activities and impact

The company did not trade in the year ended 30 September 2022. Stem4 wellbeing CIC was established as a subsidiary of the charity stem4 limited (charity registration number 1144506, company registration number 07779151) as part of a long-termsustainability strategy by the charity to pursue additional income-generation opportunities,with profits feeding back to the charity to further the charity’s objects.The Company is not established or conducted for private gain: any surplus or assets are usedprincipally for the benefit of the community, being those benefitting from the activities of thecharity stem4.Although the Company has not traded, a business group has been establishedwith representation from the CIC and stem4 charity. In addition, two third parties withsignificant business experience, have generously provided their time on a voluntary basis tosupport the development of the CIC business plan.In the year a number of opportunities have been discussed by the Business Committee andmarket research undertaken, including opportunities from overseas mental health applicences and licence potential for a new wellbeing digital development planned by the charity.The objects of the Company are aligned to stem4 and are stated in its articles of association:to carry on activities which benefit the community and in particular (without limitation) to: (a)benefit the physical and mental health of children and young people through the provision ofsupport, education and training; and (b) advance the mental health education of the generalpublic.(If applicable, please just state “A social audit report covering these points is attached”).

Consultation with stakeholders

The key stakeholders of the Company are those members of the public benefitting from itsactivities and those of the mental health charity stem4 which is the 100% owner of theCompany including children and young people, families/friends supporting them, teachers,and health professionals such as GPS and school nurses.From a governance perspective the trustees of stem4 charity are key stakeholders and thetwo directors of the CIC are also trustees of the charity.
