The directors consider that the Company is entitled to exemption from audit under section 477 of the Companies Act 2006 and members have not required the Company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The Company has opted not to file the statement of comprehensive income in accordance with provisions applicable to companies subject to the small companies' regime.

The financial statements were approved and authorised for issue by the board and were signed on its behalf on 17 November 2020.

General information

Martin Dawes Technologies Limited is a private limited liability company, limited by shares and registered in England and Wales in the United Kingdom. The registered office is The Point, 410 Birchwood Boulevard, Warrington, Cheshire, WA3 7WD and the company number is 03734470.

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Section 1A of Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

Employees

The company has no employees other than directors whose remuneration is borne by fellow group companies.

Controlling party

Until 17 July 2019 the company was a 100% subsidiary of MDS Global Limited. The ultimate parent undertaking was MDS CEM Holdings Limited, a company registered in England and Wales. The ultimate controlling party was M. R. Dawes by virtue of his family's controlling interest in MDS CEM Holdings Limited.
On 17 July 2019 MDS CEM Holdings Limited became a 100% subsidiary of Volaris Group UK Holdco Limited, a company registered in England and Wales. The ultimate parent undertaking is Constellation Software Inc., a company incorporated in Canada.
Copies of the consolidated financial statements of Constellation Software Inc. are publicly available from Rivington House, Drumhead Road, Chorley, Lancashire, PR6 7BX.
