Directors' responsibilities:

•	The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476; and
•	The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These financial statements have been prepared in accordance with the micro-entity provisions of the Companies Act 2006 and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

These financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime and the option not to file the Profit and Loss Account has been taken.

1	General information

The company is a private company limited by share capital incorporated in England & Wales.

The address of its registered office is: 85 Great Portland Street, First Floor, London, W1W 7LT

Basis of preparation

The financial statements have been prepared under the historical cost convention and in accordance with FRS 105 'The Financial Reporting Standard applicable to the Micro-entities Regime'.

These financial statements for the year ended 31st December 2016 are the first financial statements of Black Garlic Limited that comply with FRS 105. The date of transition to FRS 105 is 1st January 2015.

The transition to FRS 105 has resulted no adjustments to the prior years accounts
